IPO Advisory

From private company to listed one. We restructure your capital, reporting and board for an SME IPO.

When businesses come to us for this.

  • An IPO or larger investors are two years out.

What it covers.

  1. Capital restructuring

Shareholding, debt and capital structure put in order so the business reads well to investors.

  2. SME IPO

Preparing for BSE SME or NSE Emerge: the eligibility tests, and the sequence of work that leads to filing.

  3. Investor readiness

Reporting, governance and disclosures brought to the standard public markets expect.

The road to an SME listing starts two years out.

Listing day is the last step of a long project. Most of the work happens before a merchant banker is ever appointed, and it decides how smoothly everything after goes.

  1. Two years out

    Put the house in order.

Shareholding tidied, borrowing restructured so the balance sheet reads well to an investor, and the company converted from private to public limited.

  2. Eighteen months out

    Build the numbers.

Reporting and MIS brought to listing standard, with restated financials audited by a peer-reviewed auditor. The exchange’s tests on track record, profit and net worth checked early, not at filing.

  3. A year out

    Build the board.

Independent directors and board committees in place, with the policies and disclosures a listed company runs on.

  4. Filing

    Go to the exchange.

A SEBI-registered merchant banker leads the issue and files the draft offer document with BSE SME or NSE Emerge. By then, the hard questions have already been answered.

  5. After listing

    Stay credible.

Half-yearly results, disclosures and investor communication handled, so the business is as credible a year after listing as it was on the day.

How the work runs, start to finish.

  1. Understand.

We start with your cash flows, existing debt and where the business is headed. The product comes later.

  2. Structure.

We design the mix of debt, incentives and working capital that fits the stage you’re entering.

  3. Execute.

We work with lenders and authorities through approvals, documentation and disbursement.

  4. Stay on.

Capital needs change as you grow, so we stay involved after the deal closes.
